By accessing or using directestimating.net (the "Site") and any services offered by Direct Estimating, LLC ("Direct Estimating," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services.
Direct Estimating operates two primary service lines:
Estimator Directory: We maintain a vetted directory of independent estimating professionals. Contractors and other industry professionals may browse the directory and access estimator profiles and contact information at no charge. In the future, we may offer paid featured placement options for estimators who wish to increase their visibility within the directory.
In-House Estimating Services: We provide Xactimate estimate writing, insurance claim supplements, property sketches, Matterport-to-ESX conversions, water mitigation scoping, and quality control review for restoration contractors, public adjusters, and related industry professionals.
Direct Estimating is an estimating services company. We are not a licensed public adjuster, insurance company, insurance adjuster acting on behalf of any carrier, law firm, or licensed contractor. Our estimates are professional tools prepared for use by our clients in their own business operations.
Estimates prepared by Direct Estimating are based on industry-standard pricing data and the information provided to us by the client. We do not guarantee that any estimate will be approved, funded, or accepted by any insurance carrier, property owner, general contractor, or other third party.
Clients are solely responsible for how they use estimates provided by Direct Estimating, including any representations made to insurance carriers, property owners, or other parties.

For supplement services performed on a contingency basis, payment terms are governed by a separate Supplement Services Agreement executed between Direct Estimating and the client. In the event of a conflict between these Terms and a signed Supplement Services Agreement, the Supplement Services Agreement shall control.
General contingency terms: Direct Estimating's fee for supplement services is a percentage of the additional funds recovered through the supplement process, as specified in the applicable agreement. No fee is owed if no additional funds are recovered. "Recovered" means funds approved and issued by the insurance carrier as a direct result of the supplement submitted by Direct Estimating.
All payments are processed through Stripe, Inc. By making a purchase, you agree to Stripe's Terms of Service. Prices for services are listed on our Site and are subject to change. We will honor the price in effect at the time of your purchase.

All content on the Site — including text, graphics, logos, page layouts, and software — is the property of Direct Estimating, LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our Site content without our prior written consent.
Estimates delivered to clients become the client's property upon full payment. Direct Estimating retains the right to use anonymized, non-identifying data from completed projects for internal quality improvement and benchmarking purposes.
To the fullest extent permitted by law, Direct Estimating, LLC, its owners, employees, agents, and production partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our services or the Site, including but not limited to lost profits, claim denials, project delays, or business interruption.
Our total liability for any claim arising from the use of our services shall not exceed the amount you paid to Direct Estimating for the specific service giving rise to the claim.
You agree to indemnify, defend, and hold harmless Direct Estimating, LLC and its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any rights of a third party.

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes arising from these Terms or your use of our services shall be resolved in the state or federal courts located in Utah. You consent to the personal jurisdiction and venue of such courts.
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Your continued use of the Site or services after changes are posted constitutes acceptance of the revised Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
